Terms of Use

1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and the Tyler Nicholas Group ("TNG", "we", "us", or "our"), concerning your access to and use of our corporate websites, digital platforms, and affiliated subsidiary networks. By accessing our infrastructure, you agree that you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree, you are expressly prohibited from using our services.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and all core corporate infrastructure—including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and digital assets—are owned or controlled by the Tyler Nicholas Group. This includes, but is not limited to, our proprietary backend deployments and virtual aviation network assets.

Except as expressly provided in these Terms of Use, no part of our platforms or digital assets may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. User Conduct & Security

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user, you agree not to:

• Systematically retrieve data or other content from the Site to create or compile a collection, compilation, database, or directory.
• Attempt to bypass, circumvent, or exploit the Row Level Security (RLS) or endpoint authentications utilized in our backend systems.
• Engage in unauthorized framing of or linking to the Site.
• Interfere with, disrupt, or create an undue burden on the Site or the networks connected to the Site.
• Use the Site as part of any effort to compete with us or otherwise use the Site for any revenue-generating endeavor or commercial enterprise without a subsidiary agreement.

4. TNG Ventures & Incubator Agreements

Through TNG Ventures, we offer infrastructure, mentorship, and legal framing to approved startups at no upfront cost ($0 USD). By submitting a proposal and entering the TNG Ventures program, you acknowledge that:

• The Tyler Nicholas Group will retain an agreed-upon equity share and/or revenue-sharing stake in the resulting enterprise.
• The venture will operate as an official subsidiary of the Tyler Nicholas Group for a duration specified in the individual incubator contract.
• TNG reserves the right to terminate infrastructure support if the subsidiary breaches corporate compliance or ethical standards.

5. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our subsidiary services, even if we have been advised of the possibility of such damages.

6. Governing Law & Jurisdiction

These Terms shall be governed by and defined following the laws of the Republic of Seychelles. The Tyler Nicholas Group and yourself irrevocably consent that the courts of Seychelles shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
